Terms and Conditions
Please read these Terms and Conditions ("Terms") carefully before accessing or using any website operated by Select Corporation, including selectcorporation.net and selectcorp.net (collectively, the "Site"), creating an account, submitting an order, purchasing products, or otherwise interacting with Select Corporation online or through services that reference these Terms.
By accessing or using the Site, creating an account, submitting an order, clicking to accept these Terms, or otherwise using services that reference these Terms, you agree to be bound by these Terms and the Privacy Policy. If you do not agree, do not use the Site or submit an order through it.
About Select Corporation
The Site is operated by Select Corporation ("Select," "we," "us," or "our"). "You," "your," and "Customer" refer to any individual or entity accessing the Site, creating an account, submitting an order, purchasing products, or otherwise interacting with Select. Select primarily provides products and related services to approved business customers. Certain portions of the Site may also be accessible to other authorized users.
Eligibility, Authority, and Business Use
You represent that you have legal capacity to use the Site. If you act for a company or other organization, you represent that you are authorized to bind that organization to these Terms.Certain products, pricing, promotions, payment terms, credit arrangements, or services may be limited to approved business customers or customers meeting specified eligibility requirements.
Accounts and Account Security
Certain Site features may require an account. You are responsible for:
-
Providing accurate, current, and complete information;
-
Keeping account credentials confidential;
-
Restricting unauthorized access to your account and devices;
-
Promptly notifying Select of suspected unauthorized use or security incidents; and
-
Ensuring that each person using the account is authorized to act for the Customer.
You are responsible for activity conducted through your account to the extent permitted by applicable law. Select may suspend or terminate an account that contains inaccurate information, is used fraudulently, violates these Terms, or creates a security, operational, or legal risk.
Orders and Acceptance
Submitting an order is an offer to purchase and does not constitute Select’s acceptance. An automated confirmation acknowledges receipt only unless it expressly states otherwise.Orders are subject to acceptance, availability, customer-specific terms, credit approval where applicable, pricing verification, shipping restrictions, regulatory requirements, and Select’s ability to fulfill the order.
-
Select may reject, limit, place on hold, modify with the Customer’s agreement, or cancel an order to the extent permitted by law, including for product unavailability, pricing or description errors, suspected fraud, payment or credit issues, shipping or regulatory restrictions, or inability to fulfill the order reasonably.
-
Select may make partial shipments unless otherwise agreed in writing.
Pricing, Product Information, and Availability
Select makes reasonable efforts to present accurate prices, descriptions, images, specifications, packaging, availability, and other product information. Errors, substitutions, manufacturer updates, or changes may occur. Select may correct errors or omissions and update information, availability, or pricing at any time, subject to applicable law and existing written obligations. If an order relies on materially incorrect information, Select may contact the Customer and, where permitted, modify or cancel the affected order. If Select cancels an order after collecting payment, Select will issue the applicable refund or credit in accordance with the original payment method and governing account terms.
Payment, Taxes, Fees, and Credit Terms
Payment terms are determined by the terms applicable to each Customer account. Customers are responsible for authorized charges, applicable taxes, shipping charges, fees, and other amounts associated with purchases unless otherwise agreed in writing. Customers purchasing on credit are also subject to separately agreed credit terms, credit limits, account holds, and collection rights. Select may require advance payment or different payment arrangements when permitted by an applicable agreement or law. Past-due amounts may be subject to charges, collection costs, or account restrictions only as provided in the applicable written terms and permitted by law.
Customer Purchase Orders and Conflicting Terms
Any additional or conflicting terms contained in a Customer purchase order, procurement portal, acknowledgment, form, or other Customer-generated document are rejected and will not modify these Terms unless expressly accepted in a written agreement signed by an authorized representative of Select. A separately executed written agreement between Select and the Customer will control over these Terms to the extent of a direct conflict, unless that agreement states otherwise.
Shipping, Delivery, Title, and Risk of Loss
Shipping dates and delivery estimates are estimates unless Select expressly agrees otherwise in writing. Delivery may be affected by carrier delays, severe weather, supply-chain disruptions, governmental actions, labor disruptions, or other circumstances outside Select’s reasonable control. Shipping method, freight charges, title, risk of loss, insurance, and responsibility for carrier claims will be determined by the applicable quote, invoice, shipping policy, account terms, or separately executed agreement. If those documents do not address a matter, applicable law will govern. Customers are responsible for accurate delivery information and for charges reasonably caused by incorrect addresses, failed delivery, re-delivery, storage, or refused shipments, to the extent stated in an applicable policy or agreement and permitted by law.
Returns, Shortages, Damage, Refused Shipments, and Claims
Returns, shortages, concealed damage, refused shipments, expired or short-dated products, recalls, and other claims are governed by Select’s then-current Return Policy, Shipping Policy, Claims Policy, applicable invoice terms, and any separately agreed written terms. The Customer must follow the applicable notice period, documentation requirements, return authorization process, product-condition requirements, and shipping instructions stated in those policies. Products may be non-returnable where identified by policy, law, manufacturer restriction, safety consideration, or product condition. Any credit, replacement, or refund is subject to verification and the applicable policy. Policy links should be displayed near checkout and in the Site footer before publication of these Terms.

Product descriptions and information are provided for general commercial and informational purposes. Nothing on the Site is medical, legal, or other professional advice.

Third-Party Websites and Services
The Site may link to third-party websites, platforms, payment providers, shipping providers, or other services. Select does not control those services and is not responsible for their content, availability, privacy practices, security, or terms.
Your use of third-party services may be governed by separate terms and privacy policies.
Disclaimer of Site Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SELECT DOES NOT WARRANT THAT THE SITE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ALL INFORMATION WILL ALWAYS BE COMPLETE OR ACCURATE.
NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED. WARRANTIES APPLICABLE TO PRODUCTS ARE GOVERNED BY APPLICABLE PRODUCT DOCUMENTATION, MANUFACTURER WARRANTIES, CUSTOMER AGREEMENTS, OR OTHER TERMS PROVIDED WITH THE PRODUCT.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SELECT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SITE, AN ORDER, PRODUCT INFORMATION, THIRD-PARTY SERVICES, DELIVERY DELAYS, OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.
TO THE FULLEST EXTENT PERMITTED BY LAW, SELECT’S AGGREGATE LIABILITY FOR A CLAIM RELATING TO A PARTICULAR ORDER WILL NOT EXCEED THE AMOUNT PAID TO SELECT FOR THE PRODUCTS GIVING RISE TO THAT CLAIM. FOR A CLAIM UNRELATED TO A PARTICULAR ORDER, SELECT’S AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW. Some jurisdictions may not allow certain exclusions or limitations, so portions of this section may not apply.
Indemnification
To the extent permitted by law, you agree to indemnify, defend, and hold harmless Select and its officers, directors, employees, affiliates, and agents from third-party claims, liabilities, losses, damages, and reasonable costs arising from your unlawful use of the Site, material violation of these Terms, unauthorized product claims, unlawful resale or distribution, or infringement of another party’s rights. Select may control the defense of a covered claim using counsel of its choice, and you agree to provide reasonable cooperation. You may not settle a claim in a manner that admits fault by or imposes obligations on Select without Select’s written consent.
Force Majeure
Select will not be responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, fire, labor disruption, transportation interruption, supply-chain disruption, governmental action, epidemic or pandemic, telecommunications failure, utility failure, cyberattack not caused by Select’s failure to use reasonable safeguards, or similar events. This section does not excuse payment obligations for products already delivered or other obligations that cannot lawfully be excused.
Changes to the Site and These Terms
Select may update the Site and these Terms to reflect changes in services, practices, technology, or legal requirements. Select will update the "Last Updated" date when these Terms change. Where required by law, Select will provide additional notice or obtain consent before a material change becomes effective. Continued use after the effective date of revised Terms constitutes acceptance to the extent permitted by law. Select should maintain records of the Terms version accepted during account registration or checkout when acceptance is collected electronically.
Suspension and Termination
Select may suspend or terminate access to the Site or an account if Select reasonably believes these Terms have been violated, the account is used fraudulently or unlawfully, amounts are past due under applicable account terms, or suspension is necessary to protect systems, customers, operations, or legal rights. Provisions that by their nature should survive termination will remain effective, including payment obligations, intellectual-property provisions, disclaimers, limitations, indemnification, dispute provisions, and other accrued rights.
Governing Law and Disputes
These Terms and disputes arising out of or relating to the Site, an online order, or these Terms will be governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise. Unless the parties agree otherwise in writing or applicable law requires a different forum, any judicial proceeding will be brought in a court of competent jurisdiction in Texas. Each party consents to personal jurisdiction in Texas for such proceedings. Before filing a claim, the parties are encouraged to provide written notice describing the dispute and to attempt in good faith to resolve it informally. This paragraph does not prevent either party from seeking urgent injunctive or equitable relief where appropriate. Legal review required: Counsel should confirm venue, any arbitration provision, jury-trial waiver, class-action waiver, and the relationship between this section and Select’s customer or credit agreements before publication.
Severability
If any provision is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
No Waiver
Select’s failure to enforce a provision does not waive that provision or any other right. A waiver is effective only if made in writing by an authorized representative of Select.
Assignment
You may not assign or transfer these Terms or an account without Select’s prior written consent. Select may assign these Terms in connection with a merger, reorganization, sale of assets, financing, or operation of its business, subject to applicable law.
Entire Agreement and Order of Precedence
These Terms, together with the Privacy Policy, applicable quote, invoice, customer agreement, credit agreement, purchase terms, Return Policy, Shipping Policy, Claims Policy, and other written terms applicable to a transaction, constitute the agreement concerning use of the Site and the applicable transaction. If documents conflict, a separately executed written agreement controls first; then the applicable quote or invoice; then the applicable posted transaction policy; then these Terms, unless a controlling document expressly states a different order of precedence.
